<p>As the Operations Manager on the Enterprise Records and Information Management team (“ERIM”), Lisa is primarily responsible for vendor account management covering 120 markets in 90+ countries, the global records inventory application, and Enterprises Record Retention Schedule. She works cross functionally with teams providing policy and process guidance on ILM (information lifecycle management) to reduce risk and provide them with best practices on policy and data management.</p>
<p>Any day she might engage with HR on proper storage of paper records in a country, work with a vendor on an SOW for a packing and scanning project, advise a business owner and their IT team on retention for the data in an application, or give a newly acquired company details on the ERIM policy and the proper management of their records.</p>
<p>She is a CIP (Certified Information Professional) and holds the CIPP/US and CIPM designations.</p>
<p>She and the other members of the ERIM team are working to enable Cisco to discover, value and take control of their information.</p>

Some may even wonder whether the benefits of personal data protection outweigh the administrative burden of returning to hard-copy records. <a href="https://www.zasio.com/paper-files-digital-world-data-breach/#_ftn1" name="_ftnref1" data-wpel-link="internal">[1]</a> But did you know that low-tech data can be just as easy, if not easier, to breach?</p>
<h3><strong>How do data protection laws apply to hard-copy records?</strong></h3>

<p>While some data protection laws define “personal information” in detail, most are purposely vague. For example, Serbia’s Law on Personal Data Protection defines personal information as “any information relating to a natural person, regardless of the form of its presentation or the medium used (paper, tape, film, electronic media etc.).<a href="https://www.zasio.com/paper-files-digital-world-data-breach/#_ftn2" name="_ftnref2" data-wpel-link="internal">[2]</a> The EU’s General Data Protection Regulation (GDPR) has its own definition of “personal data.” In fact, it makes no reference to the medium of the personal data.<a href="https://www.zasio.com/paper-files-digital-world-data-breach/#_ftn3" name="_ftnref3" data-wpel-link="internal">[3]</a> However, the GDPR’s definition of a “personal data breach” covers the low-tech, minor data breaches and doesn’t even mention the medium of the data. The GDPR states that a personal data breach is, “a breach of security leading to the accidental or unlawful destruction, loss, alteration, unauthorized disclosure of, or access to, personal data.”<a href="https://www.zasio.com/paper-files-digital-world-data-breach/#_ftn4" name="_ftnref4" data-wpel-link="internal">[4]</a> The lack of clarity in the law can be costly for businesses. They could face high sanctions for what seems like a trivial loss of hard-copy records.</p>
<h3><strong>What are some differences for hard-copy data protection requirements?</strong></h3>
<p>Most data protection laws have broad requirements for both electronic and hard-copy personal information. However, some laws are more specific about the difference between physical documents and digital information.</p>
<p>Many data protection laws carry records-handling requirements that explain how to store, destroy, or protect hard-copy records that contain personal information. For example, the Netherlands AFM Compliance Regulations specifies that businesses must store physical data in a fireproof safe and digital data must be “safeguarded by technical access security systems.”<a href="https://www.zasio.com/paper-files-digital-world-data-breach/#_ftn5" name="_ftnref5" data-wpel-link="internal">[5]</a></p>

				<div class="et_pb_text_inner">When paper or electronic records have reached the end of their retention period, how do you appropriately destroy them?  Below is a summary of common records destruction methods.</p>
<h3><strong>Paper Records</strong></h3>
<p><strong><em>Confidential Information</em></strong></p>
<ul>
<li><strong>Shredding:</strong> Paper is cut into thin vertical strips (straight-cut shredding) or into vertical and horizontal confetti-like pieces (cross-cut shredding). Most non-confidential records can be straight-cut shredded. Cross-cut shredding is more appropriate for sensitive and confidential records.</li>
<li><strong>Pulping:</strong> Paper is reduced to fibers (pulp) by being mixed with water and chemicals. The pulp can then, in many cases, be recycled into other paper products.</li>
<li><strong>Pulverizing:</strong> Paper is reduced to small, fine particles (such as powder or dust) by methods of crushing, grinding, etc.</li>
<li><strong>Incineration:</strong> Paper is burned to ensure complete destruction and non-retrievability of data. While effective, it is not considered the most environmentally-friendly option.</li>
</ul>
<p><strong><em>Non-confidential Information</em></strong></p>
<ul>
<li><strong>Recycling:</strong> Suitable for non-confidential records where possible. Paper is reused or reconstituted as other paper products. This method promotes good conservation of paper resources.</li>
<li><strong>Discard/disposal/landfill:</strong> Documents are tossed into a garbage container or dumpster, or are buried in a landfill. These methods are generally not recommended as suitable for effective record disposal.</li>
</ul>
<h3><strong>Electronic Records</strong></h3>
<p><strong><em>Confidential Information</em></strong></p>
<ul>
<li><strong>Physical Destruction:</strong> Includes crushing, incinerating, shredding, pulverizing, etc. The storage device is completely destroyed. This is an option for both hard drives and removable electronic media devices.</li>
<li><strong>Overwriting:</strong> Existing data is overwritten with other (often randomized or nonsensical) data or files, making the original data unreadable and/or irretrievable.</li>
<li><strong>Degaussing (or demagnetizing):</strong> Magnetic media is exposed to a strong magnetic field, which scrambles the data and effectively erases it.</li>
</ul>
<p><strong><em>Non-Confidential Information</em></strong></p>
<ul>
<li><strong>Erasure: </strong>Deleting data (such as hitting the “Delete” key). This should only be considered for non-confidential data, as “deleted” data can often be retrieved with the requisite know-how or special software.</li>
<li><strong>Discard/disposal:</strong> Electronic storage devices are thrown away. This method should only be considered for non-confidential data, and is generally not recommended as a suitable method of record disposal.</li>
</ul>
<p>Proper records destruction helps protect confidential information and lowers the risk of privacy or security breaches, which can result in significant financial and legal consequences. Depending on the records being disposed of and the industry involved, you should be aware of and follow industry practices and any legal or regulatory destruction/disposal requirements involving such records.</p>

				<div class="et_pb_text_inner">Records managers often overlook laws that regulate record formats. Most companies store the bulk of their records electronically—or they’re moving in that direction. This makes it important to consider legal requirements about records formats.</p>
<p><b>Permissive Format Regulations</b></p>
<p>The good news is that most format regulations allow for electronic recordkeeping if you meet certain conditions. In the US, the Uniform Electronic Transactions Act, which is in effect in 47 states, is a good example of standard language found in many domestic and international permissive format requirements. The main components usually include 1) accurate and trustworthy information and 2) accessibility.</p>
<p><b>Accurate and Trustworthy Information</b></p>
<p>The electronic version must accurately reflect the finalized version of the record. This condition recognizes that it’s easy to alter and override many formats of electronic records. It also recognizes that original versions of electronic records don’t exist in the same context as paper records.</p>
<p>A crucial element for accuracy is information integrity, which includes ensuring that the record has not been altered. While evidentiary rules can also apply, we’ll only include a couple of general factors that impact accuracy:</p>
<ul>
<li><strong>Authenticity</strong>: Someone with knowledge of the records that can authenticate the integrity of the information.</li>
<li><strong>Security</strong>: Security measures in place to protect the information from tempering.</li>
</ul>
<p>&nbsp;</p>
<p><b>Accessibility</b></p>
<p>The records must remain accessible. This condition recognizes that technology becomes obsolete and data can become corrupt over time. However, information must remain accessible throughout its required retention. A few steps to help meet this requirement include:</p>
<ul>
<li>Migrating records from legacy systems into new systems so they are readable.</li>
<li>Using a format that can be reproduced into hard copy within a reasonable time.</li>
<li>Backing up electronic records to prevent loss through degradation.</li>
</ul>
<p>&nbsp;</p>
<p>While many of the permissive format regulations use slightly different terminology and include other information, such as exceptions for contractual arrangements, specific evidentiary situations, and more, this provides a summary of the overall requirements for many of these regulations.</p>
<p><b>Mandatory Format Regulations</b></p>
<p>Mandatory format regulations require that a record be kept in a particular format. While rare, in many jurisdictions and industries, these regulations impact common records. Identifying and properly interpreting and applying these types of requirements is crucial to ensure compliance with the law. A few examples of mandatory format requirements include:</p>
<ul>
<li>China’s Implementation of the Methods for Management of Invoices Notice requires that invoices be kept in stub form.</li>
<li>In the United States, 17 CFR 240.17a-4 requires that Members of National Securities Exchanges, Brokers, or Dealers must retain certain records related to their securities activities in micrographic or electronic storage media exclusively in a non-rewriteable, non-erasable format.</li>
<li>Switzerland’s Code of Obligations requires that annual reports and audit reports be retained in a written form and signed.</li>
</ul>
<p>&nbsp;</p>
<p>Unfortunately, finding these requirements can be a bit like finding a needle in a haystack. Unlike the permissive requirements, which often have their own dedicated law, mandatory format regulations are usually found buried in the text of laws alongside requirements to retain records. Identifying them requires extensive research.</p>

<p>On November 28, 2011, President Obama signed a Presidential Memorandum entitled <a href="https://obamawhitehouse.archives.gov/the-press-office/2011/11/28/presidential-memorandum-managing-government-records" target="_blank" rel="noopener external noreferrer" data-wpel-link="external">Managing Government Records</a>, initiating “an Executive Branch-wide effort to reform records management policies and practices” of agencies by developing a “21st-century framework for the management of Government records.” To achieve this objective, the Director of the Office of Management and Budget (OMB) and the United States Archivist released the <a href="https://www.archives.gov/files/records-mgmt/m-12-18.pdf" target="_blank" rel="noopener external noreferrer" data-wpel-link="external">Managing Government Records Directive</a> on August 24, 2012. Applicable to all executive agencies and all records, regardless of security classification or other restrictions, the directive requires government agencies to eliminate paper and use electronic recordkeeping, among other things.</p>
<p>The directive sets two target dates by which agencies must meet the electronic recordkeeping requirements:</p>
<ul>
<li>By <strong>December 31, 2016</strong>, Federal agencies will manage permanent and temporary email records in an electronic format. This format must support records management and litigation requirements, as well as the capability to “identify, retrieve, and retain the records for as long as they are needed.” In addition, agencies must report annually to OMB and the National Archives and Records Administration (NARA) the status of their progress toward the electronic recordkeeping goal.</li>
<li>By <strong>December 31, 2019</strong>, Federal agencies will manage all permanent electronic records in an electronic format.</li>
</ul>
<p>&nbsp;</p>
<p>While agencies are expected to comply with these deadlines, <a href="https://fcw.com/articles/2017/03/22/more-missing-email-deadline.aspx" data-wpel-link="external" rel="external noopener noreferrer">only an estimated 81%</a> have hit the 2016 email electronic format compliance goal so far. In light of this, Laurence Brewer, the Federal chief records officer at NARA, <a href="https://fcw.com/Articles/2016/12/22/email-deadline-mazmanian.aspx?Page=1" target="_blank" rel="noopener external noreferrer" data-wpel-link="external">explained in a 2016 FCW interview</a> that “[t]here really isn’t a finish line…[i]t’s one of those targets where agencies will continue to work on it, and we’re going to continue to work with agencies.” He <a href="https://fcw.com/articles/2017/03/22/more-missing-email-deadline.aspx" target="_blank" rel="noopener external noreferrer" data-wpel-link="external">further explained</a> that NARA sought to collaborate and work with agencies in their records management issues and efforts rather than punish them for missing a deadline.</p>
<p>According to agency self-reporting data, a <a href="https://fcw.com/articles/2017/03/22/more-missing-email-deadline.aspx" target="_blank" rel="noopener external noreferrer" data-wpel-link="external">projected 95% of agencies</a> will meet the 2019 electronic records management deadline. For this to happen, agencies should start planning and implementing strategies now to successfully convert to a comprehensive electronic recordkeeping system. 2019 is fast approaching.</p>
